Acceptance of Terms

By accessing and using the BrightFront website (brightfront.world) and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

All strategic planning frameworks, methodologies, reports, and materials developed by BrightFront remain the intellectual property of BrightFront SARL unless otherwise specified in a separate written agreement.

You may not copy, reproduce, distribute, publish, display, perform, modify, create derivative works, transmit, or in any way exploit any content on our website or provided through our services without our express written permission.

Service Availability

We strive to provide reliable and consistent access to our services. However, we do not guarantee that our services will be available at all times or that they will be free from errors, viruses, or other harmful components.

Payment Terms

Payment terms for our strategic planning services will be specified in individual service agreements or proposals. Unless otherwise specified:

• Payment is due within 30 days of invoice date
• Late payments may incur additional charges
• All fees are quoted in Euros (EUR) unless otherwise specified
• Refunds will be considered on a case-by-case basis

Confidentiality

We understand that our strategic planning services may involve access to confidential business information. We are committed to maintaining the confidentiality of all client information and will not disclose such information to third parties without your express consent, except as required by law.

Both parties agree to maintain confidentiality regarding any proprietary or sensitive information shared during the course of our business relationship.

Limitation of Liability

To the fullest extent permitted by applicable law, BrightFront SARL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

Our total liability for any claim arising out of or relating to these terms or our services shall not exceed the amount paid by you to BrightFront for the specific service giving rise to the claim during the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless BrightFront, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to legal fees) arising from your use of our services or violation of these terms.

Termination

Either party may terminate service agreements with reasonable notice as specified in individual contracts. We reserve the right to terminate or suspend access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms of Service.

Upon termination, your right to use our services will cease immediately. All provisions of the Terms of Service which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Luxembourg, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms will be brought exclusively in the courts of Luxembourg.

If you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.

Severability

If any provision of these Terms of Service is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
